Blakewood Condominiums is a planned residential development community comprised of one
hundred fifty-two (152) condominium Units (condos). Blakewood Condominiums was
established as a horizontal property regime pursuant to the recorded Master Deed of Blakewood
Condominiums dated June 13, 2000, together with all amendments thereto, the “Master Deed”)
and the Tennessee Horizontal Property Act, Tennessee Code Annotated 66-27-101 through 66-
27-123 of the Act.*
The Charter or Articles of Incorporation (the “Charter”) of Blakewood Condominiums
Homeowners Association, Inc. (the “Association”) adopted May 18, 2000, and attached as
Exhibit “M” to the Master Deed, provides that the purpose of the Association is to operate and
manage Blakewood Condominiums in accordance with the Master Deed for the use and benefit
of the Unit (condo) Owners. (See Charter, Articles 10, 14). The Bylaws of the Association
govern the operation and administration of the Association, and are attached as Exhibit “N” to
the Master Deed (together with all amendments, the “Bylaws”).
The governing body of the Association is its Board of Directors (the “Board”), which has the
powers and duties as set forth in the Bylaws for administration of Blakewood Condominiums by
the Association. (See Master Deed, Article 2(c), (d), and (e)). The provisions of the Tennessee
Nonprofit Corporation Act, Tenn. Code Ann. Sections 48-51-101, et. seq. (the “Nonprofit Act”)
also apply to the Association and the Board.
